These Terms and Conditions (“Terms”) govern your access to and use of Reportly AI’s website and services (the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

“Reportly”, “we”, or “us” means Reportly AI. “You” means the person or organization using the Service. “Customer Data” means the data you upload or connect, including financial data from integrations. “Content” means materials we make available through the Service.

You must be at least 18 years old and able to enter into a binding contract. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

Reportly is in a pre-launch phase. Access may be offered through a waitlist or early-access program. During this period, features may be limited, may change, or may be discontinued, and we make no guarantee about availability, uptime, or continuity of the Service.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. We reserve all rights not expressly granted.

You agree not to:

• use the Service for any unlawful purpose or in violation of these Terms;
• infringe the intellectual-property or privacy rights of others;
• reverse engineer, copy, or create derivative works of the Service;
• interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems;
• upload malicious code or misuse data you are not authorized to access.

You retain ownership of your Customer Data. You grant us a limited license to process it solely to provide and improve the Service. You are responsible for the accuracy, quality, and legality of the data you provide and for having the necessary rights to share it. We handle personal data in accordance with our Privacy Policy.

The Service integrates with third-party products such as QuickBooks. Your use of those products is governed by their own terms and policies. We are not responsible for third-party services, and their availability is outside our control.

If and when paid plans are offered, applicable fees, billing cycles, taxes, and renewal terms will be presented to you before purchase. During the waitlist or early-access period, the Service may be provided free of charge. Fees are non-refundable except as required by law or expressly stated.

The Service, including its software, design, and trademarks, is owned by Reportly or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, no rights are transferred.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Reportly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or USD 100.

You agree to indemnify and hold Reportly harmless from claims, damages, and expenses arising out of your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service or other users. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in Delaware, unless otherwise required by applicable law.

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date, and your continued use of the Service after changes take effect constitutes acceptance.
